CORPORATE COUNSEL

Job Summary:

Lexmark is seeking a Corporate Counsel to join our team, who will provide strategic negotiation, risk assessment and management and contract drafting support on global sales agreements.  The Corporate Counsel will drive agreements to closure with a sense of urgency while protecting Lexmark.  The Corporate Counsel will also collaborate with stakeholder and cross-functional teams to develop and implement improvements to the contracting processes and tools.

Key Roles and Responsibilities:

  • Plans, organizes and controls Manage Print Services (MPS), channel and cloud services agreements
  • Works with customers, account executive teams, and Lexmark leadership to drive development and negotiation of Lexmark MPS agreements, cloud services agreements and professional service agreements
  • Responsible for development and administration of terms and conditions associated with Lexmark's offerings including original agreements, amendments, confidentiality agreements and software license related agreements
  • Review and understand contract compliance challenges related to leasing, including governmental and regulatory compliance
  • Review customer proposed contracts, bid packages and requests for proposal and advise management teams regarding contractual risks and risk mitigation strategies
  • Identify and quantify economic and operational exposure proposed in managed print solutions and service opportunities
  • Work with sales and operations while being responsive to treasury and finance functions on deal structure and terms
  • Ensure that contract deliverables are properly documented in the appropriate tools and available to the enterprise
  • Assist in developing and enhancing Lexmark's global privacy, data protection and security programs

Education, Experience and Certifications Basic Requirements:

  • English (read, write, speak English at native level)
  • License to practice law and be admitted to the Bar of Philippines (in good standing)
  • 5+ years of experience negotiating and drafting commercial agreements
  • Knowledge of legal and commercial terms/concepts
  • Demonstrated experience of improving contractual processes

Preferred:

  • Experience in negotiating with multi-national firms
  • In-house and law firm experience
  • Knowledge of Canadian, U.S. and European privacy laws (CIPP certification is a plus!)
